The SEC filings are signed legal documents. Signing a legal document stating that you are the owner, CEO and president of a company for three whole years with a federal felony charge if you file incorrect information with the SEC and then claiming that you had nothing to do with the management and operation of the company is just ridiculous. If these signed documents do exist, then Romney has a real big problem.

I am reminded of the scene in the Tom Clancy novel (and the film) Clear and Present Danger, when the POTUS is confronted with a question about a friend of his being involved in the illegal drug trade.

This Bain thing is ludicrous.

First, the SEC filings were on preliminary filings.

Second, the filings were done by companies that were invested in by Bain while Romney was CEO. Bain typically provides support, (mostly financial support) and does not run day to day operations. Them putting his name on SEC filings was and error seeing somebody else was CEO.

The problem Romney has is that he is using his business experience to say that he knows how to create jobs. But you said it yourself, the number one job of any business is to make money. Which is what he did, without concern for creating or destroying jobs. So to say he knows how to create jobs in miss leading. He knows how to make money.

I agree with your assessment and concede the points you make; as I stated I vastly oversimplified the mechanism, and will admit for the record that, having worked for companies under the control of holding/investment companies it was far less than an ideal situation. Hence I now have my own little corner of the business world.

But I still believe that in the aggregate Bain created and saved more jobs than it has lost, and generated more wealth overall (and I do not mean just for Mr. Romney) than would have been created had the entity not existed.

While I think investment firms like Bain are a little greasy, they do serve a purpose. And though I wouldn't do it myself because I prefer to build things organically, I do not think they're inherently evil.

To the end of post 1.75, I believe that the President does believe that gainful employment comes from the private sector. I think however at this point in time as the private sector struggles to gain steam that this is when we need the fedral govenment to step in and support the private sector to get the engine humming again.

I have been unimpressed with Mr. Romney's handling of these kinds of issues. In the end the truth will out anyway, so why not throw the cards on the table and see what happens? And I haven't figured out whether he's trying to snow me or just optimize the number of votes he gets by being waffle-y.

If it was me, I'd just say, "Look, here's what I did at Bain, and it was my job. I was good at my job. I understand that, using the same business acumen, my objectives as President would be different. And I would work just as hard for those objectives too."

My own anecdotal data sums up why I'm not uncomfortable with the dichotomy of what Mr. Romney was at Bain versus what I think he'd be as President.

Long, long ago I was a machinist. I was damn good at my job, and a pain in the a$$ to management and engineering. After I graduated college I took a job as a mechanical engineer. I was damn good at that job, too, and a pain in the a$$ to Labor and Management. When I went into senior management, I was good at that, too, and a pain to Labor and Engineering. Now I own my own business, and everybody thinks I'm a pain.

I guess my point is that it's impossible to judge Mr. Romney for the kind of President he'd be based on his job at Bain; the objectives of the two jobs are just too far apart.

I suppose we'll find out if he's elected, which I think is mildly improbable.

Yes, I have been alerted by my accountants about a number of programs, grants, etc. designed to help businesses just like mine, but frankly they come with so many fishhooks that I politely choose not to participate.

As an example, there was one program (if I remember correctly) whereby if I hired, I would get this or that tax break. Sounds delicious, except for two things; first, if I need to hire, I'll hire. I'm not going to make up a job just to get a tax break, then have the person just sweep floors. Second, I don't need a tax break if I'm not making any money, which was the case at the time. To me, this just shows how out of touch our policy-makers are. They have no concept what an incentive truly is.

If they really want to help the private sector, how about:

1) Grants to manufacturers to modernize equipment, making us more competitive with off-shore suppliers.

2) Genuine investment in capital projects like hydroelectric dams and modernizing the power grid to lower energy costs for business (and private individuals, freeing up disposable income for things like durable goods).

3) Intelligent government investment in a truly green, blended approach to meeting energy needs, including (but not limited to) a) development of genuinely safe fracking, b) nuclear, c) wind, d) hydroelectric, and e) safe coal. Forget the boondoggles of things like solar, which has poor power density.

4) Investment in low-speed rail, still the most efficient manner of moving goods.

If I saw programs like that, I'd absolutely get behind government as a jobs-creator. Instead what I observed was stimulus money used to repave a perfectly-good road in front of my plant. Twice.

I agree with one thing Obama said the President is ultimately responsible for the conduct of his operations. When is he going to answer questions about the Fast and Furious operation? How about Solyndra? How about the missing stimulus money? We could go on all night with all of the questionable calls and deals his administration has made.

Tom - I am in total agreement with you, but if I could make an assumption, I would guess that being given a tax break would not get you to go out and immediately spend that money on an employee either. What it sounds like to me is that you would be inclined to hire a new employee when either the services you provide or the products that you produce are in greater demand.

The four things that you list that would help the private sector are spot on IMO. They are going to put people back to work and put money in their hands that they can now go out and spend. Of course the govenment has to take the financial hit up front, but why not? Borrowing costs are as low as they have ever been, and if this country is to ever get back on track we need to invest in the things that you list at some point.

From what I gather, a lot of that type stuff was in the jobs bill that was being pushed by the President. Unfortunately while we sit here and argue about when Mitt Romney left Bain capitol, something that really doesn't matter, we aren't, or our congressmen aren't out there trying to find the middle ground to get something like this passed. Our biggest problem right now is that working together will not only score your side points, it will score points for the other guy and somewhere along the line that became unacceptable and the erosion of our country became a ok in the name of political points.

Sometime in the 90's Bain Capital became a "Leverage Buy Out"/"Corporate Raiders" while Romney was in charge as the CEO. The company continues to do the same today (with putting small companies out of business in the U.S.). Also, Mitt worked 3 years longer than he claims. So what's he hiding? Ann's 15 year old horse (who hopes to be in the Olympics this summer) was placed under their corporation name. As a result through their corporate tax exemptions, they deducted $77K for care of the one horse this past tax year. This horse lives better than most of the people in Mississippi, Louisiana, and Arkansas. The Romneys' have "Blind Trusts", where one of the businesses used in their overseas assets, made a profit of 1.9 million. The entire Trust had a $7.4 million gain, due to money manipulation allowed for the corporate elite. Any profits made in companies overseas are not required to pay taxes on the profits, or show them to the U.S. This is one reason why Obama wants to change the tax code, in particular for the wealthy elite, overseas business, etc. The elite in return, hire the lobbyists, get the backing of other corporations, etc. to say that Obama wants to raise ALL of our taxes, which is not true for anyone earning under $250K annually. I think Mr. Tom and others on here give some level-headed and very rational arguments about the business side of how Bain Capital operates. Businesses like that have to do the hard things sometimes, like lay off workers and even close and sell off businesses they can't turn around successfully.

However, running a country is not the same as running a business. With a business, if you lay off folks, you may offer some token severance, you may kick them out on the street with nothing at all. After the deed is done, that CEO couldn't care less about the welfare of that ex-employee who he/she just discarded like yesterday's garbage. As President, Mitt won't have that luxury of "not caring" about those folks. The Republican Party has adopted the Tea Party's stance that taxes need to be decreased, and to do that, spending on "safety net" social programs such as Medicaid, Medicare and Social Security will need to be severely slashed. But, Mitt will still have to deal with these folks he has just put out on the street. What's his plan? Eliminate seemingly unneeded red tape and regulations on business, cut corporate taxes, so businesses will "magically" begin creating jobs again? Oh no....won't happen! Why not? Because of that "evil" Minimum Wage Law that's designed to make businesses pay at least a living wage to its employees. Once Mitt repeals that stumbling block, now businesses will be posting job openings out the a$$....."Machine Operator Wanted....Must have a 4 yr degree with 5 yrs experience....starting at $10/hr"....and then Mitt will be boasting about how many job openings there are. One would think that if Romney was trying to prove continued links to Massachusetts, he would have emphasized he kept doing work for Bain.

In other words, an official state investigation concluded that Romney no longer worked at Bain as of early 1999, and also was working “12 hours a day, six days a week” on the Olympics from 1999 to 2002. That also would seem to trump the SEC filings.

This country can simply not afford four more years of Obama and his policies. I am sick of having a president who picks and chooses which laws he is going to follow and have his administration enforce. Obama uses executive orders like royal fiats, overriding duly passed federal statutes. If he can not get the legislative branch to go along with what he wants he simply issues an executive order. This is not the behavior of president in a democratic republic, it is the behavior of a dictator. It is a violation of the constitution's separation of powers as well as a violation of his oath of office. As bad as Obama has been, I fear just how far he will take this approach if he gets reelected and has four years in office without having to worry about getting reelected again. We would have king Obama, not president Obama. In addition, we simply can not afford to continue with the absurd levels of deficit spending we have seen under Obama. He has raised our national debt more in the last 3.5 years than every president before him back to Regan combined. Under Obama the national debt has gone from approximately 70% of GDP at the end of FY08 or, even giving him a year, 85% at the end of FY09 to almost 105% projected for the end of FY12 in a few months from now. This compares to Bush who saw it go from about 56.5% of GDP at the end of FY00 to 70% at the end of FY08, or if you blame him entirely for FY09, up to 85% of GDP. This means that under 8 years with Bush the debt increased by 13.5% or 28.5% (depending on which end year you use), while Obama has seen the debt increase by 20% or 35% as a percentage of in less than half the time. If you split the difference on FY08/09 it would show Bush raising the debt by 21% of GDP in 8 years while under Obama, in less than half the time, it has gone up by it by 27.5% of GDP. Since debt as a percentage of GDP is the fairest measure, and certainly fairer than looking at just raw dollars, it certainly appears that Obama has been abominable from this perspective. Can we really afford four more years of Obama and his failed economic policies!!!

We want the truth show us physical evidence, OBAMA was hounded to prove he was born an American citizen even after the State of Hawaii confirmed he was, and We are just supposed to take Romney's word that he was not responsible for Bain Capital when all those things were done, PROVE IT!

All current and former Bain leaders (most of them democrats, some big Obama campaign donors) have said that Romney had nothing to do with Bain's business decisions after February 1999. If anyone takes a "leave of absence" from a company, they relinquish their specific responsibilities to another person. As far as signed documents to the SEC...they are mere formalities complying with federal law. The same holds true for the fact that he held 100% of the stock in the company...nothing illegal with holding 100% of the stock in a company and not having anything to do with the day to day operations. I guess nobody has ever heard the term "silent partner".

If there was some sort of violation of federal law, I am sure there are more than enough Democratically appointed district attorneys that can file the charges. If no charges are filed, this is all "Up in Smoke" (like the Cheech and Chong inference?).

These were signed by the CEO's of the companies filing to the SEC. Not by Bain, not by Romney. Bain typically does not control the companies. The companies are investments, not subsidiaries. Being 6 put Romney's name as CEO of Bain, they were reporting that they were part owned by Bain, and used the original paper work where Bain first bought into them, which would state Romney as CEO.

The Left can keep pushing the issue if they want, but they will lose, especially since ABC News and the Washington Post actually practiced Jouralism, which is get to the real truth.

On the Bain attacks, the Washington Post and ABC News Poll show 50% think it’s not relevant to the choice, and the other 50% are split into a virtual tie, with 24% believing it’s a reason to oppose Romney and 23% believing it’s a reason to support him. So, 73% DON'T CARE ABOUT BAIN! And those 24% were not going to vote for Romney in the first place and the 23% would vote for Romney regardless. But it's your 50% that's important. Again THEY DON'T CARE.

Oh and lets not mention that this sample has a D+9 tilt. Looks like the Bain attacks are only convincing the far liberal left of the Democratic Party who would support Obama regardless of what he did or did not do.

Obama's spending all this money to attack Romney on Bain, something that 73% of the people don't care about and after a month he's still not that far ahead. The Rasmussen Reports daily Presidential Tracking Poll for Friday shows President Obama with 46% of the vote, while Romney earns support from 45%. And 5% prefer some other candidate, and 4% are undecided. (Undecided votes in a bad economy historically do not go with the incumbent). Then +3 which is your margin of error.

What we do know at this point is Obama's spending money like there is no tomorrow. He's taken in less money per month then Romney. By the time the Conventions are over and most people who vote start paying attention to the race, Obama who clearly can't manage money, will be broke with little to spend on his commercials and Romney who clearly can manage money, will be on TV 24/7.

But in the testimony, which was provided to The Huffington Post, Romney noted that he regularly traveled back to Massachusetts. "[T]here were a number of social trips and business trips that brought me back to Massachusetts, board meetings, Thanksgiving and so forth," he said.

The fact of the matter is that everyone involved with Bain Capital has stated that Mitt Romney had nothing to do with operational decisions at Bain after 1999. He may have been the 100% shareholder and he may have been the CEO "on paper", but there is simply no proof that he participated in the decision making of the company. Furthermore, several of the people who made the decisions at Bain after Mitt Romney left are democrats and have contributed to the Obama campaign. It leads to their credibility that Romney had nothing to do with the decisions at Bain after 1999. No smoking gun, no proof of a lie, just more outlandish "if this" than "that" game.

The ongoing hullabaloo over the timing of Mitt Romney's exit from Bain has become a bit absurd. The Romney camp and Bain insist that Romney fully retired in February 1999 from the private equity firm he founded and owned—even though in the past he and Bain have described his departure as a part-time leave—and evidence has emerged (including Securities and Exchange documents I first reported) showing that Romney was involved to some extent in Bain as late as 2002, while he continued to maintain his ownership of the firm and its various entities. Romney has been working hard to avoid being held responsible for any post-February 1999 Bain deals that might have resulted in bankruptcies or outsourcing. But there is another reason for the Romney crew to worry about this controversy: Romney may have made a false statement on a federal financial disclosure form, and doing so is a felony punishable by up to one year of imprisonment and a $50,000 fine.

Like all presidential candidates, Romney has to submit a financial disclosure statement to the Office of Government Ethics. He filed his most recent one last month, and the disclosure contains a very clearly stated footnote:

Mr. Romney retired from Bain Capital on February 11, 1999 to head the Salt Lake [Olympics] Organizing Committee. Since February 11, 1999, Mr. Romney has not had any active role with any Bain Capital entity and has not been involved in the operations of any Bain Capital entity in any way.

There's no ambiguity there: not involved in Bain operations in any way. But that's not true.

As I reported, in November 1999, Romney signed a SEC filing that noted he was the "sole shareholder, Chairman, Chief Executive Officer and President" of several Bain entities that had acquired 22 percent of medical-waste firm Stericycle. The form also stated that Romney shared "voting and dispositive power with respect to" 2,116,588 shares of common stock in Stericycle "in his capacity as sole shareholder" of the Bain entities that were part of this $75 million investment.

To repeat: Romney signed a Bain document pursuant to a $75 million deal. That would appear to qualify as involvement in Bain activity. And according to a Bain spokeswoman, Romney signed such documents more than once. She told me that after February 1999 Romney was a "signatory on certain documents" until his separation agreement with Bain was finalized in 2002.

A Romney campaign official, asked if Romney's disclosure statement was inaccurate, told Mother Jones, "signing technical documents as required by law doesn't constitute an active role or involvement in the operations." But on his federal disclosure statement, Romney declared no participation in "any way"—which presumably would cover signing documents that enabled deals to go forward.

Additionally, a Bain press release issued on July 19, 1999, described Romney as "currently on a part-time leave of absence"—not retired—and it quoted Romney speaking for Bain Capital regarding the departure of two of its managing directors.

Numerous other SEC filings submitted by Bain in the years following February 1999 list Romney as a Bain executive and a member of its "management committee." (Josh Marshall at Talking Points Memo found two SEC filings from 2000 and 2001 listing Romney's "principle occupation" as managing director of Bain.) And the Boston Globe made a splash this week when it reported that it had unearthed "nine SEC filings submitted by four different business entities after February 1999 that describe Romney as Bain Capital's boss; some show him with managerial control over five Bain Capital entities that were formed in January 2002." The Huffington Post, meanwhile, reported on testimony Mitt Romney gave in 2002 in which he acknowledged that after he headed to Salt Lake City he still participated in board meetings for firms in which Bain had invested. (In an interview on Friday, Romney said that in this time frame one of these firms, Staples, no longer was connected to Bain.)

Some fact-checkers and journalists have challenged the assertion that Romney continued to play a role in Bain after February 1999. Dan Primack, a senior editor at Fortune, obtained Bain documents from 2000 that don't include Romney on the list of Bain's managers or "key investment professionals" or as part of the day-to-day operations or investment committee. But the question here is not whether Romney was actively managing funds on a daily basis, but whether he did anything at all that was Bain-related.

Glenn Kessler, who writes the Washington Post's "Fact Checker" column, dismisses the SEC filings bearing Romney's name, insisting, "much of the language saying Romney was 'sole stockholder, chairman of the board, chief executive officer, and president' was boilerplate that did not reveal whether he was actually managing Bain at the time." Again, there is a difference between managing and participating in the firm's operations.

Kessler notes that Romney signed that public disclosure form, under the penalty of perjury. Still, he doesn't seem to believe this is a problem for Romney. He does concede, "The SEC documents, especially the ones Romney signed, do raise some questions. One can certainly argue that because Romney did not fully extricate himself from Bain till after his Olympic sojourn ended, he should bear some responsibility for what happened in that period."

Kessler, though, slams the Obama campaign—three Pinocchios!—for saying that Romney and Bain may have violated the law by filing documents with the SEC that falsely represented Romney's status at Bain. But even Kessler's reading of the available evidence could land Romney in hot water regarding his financial disclosure form. While he contends the available evidence does not support the claim Romney actively managed Bain after February 1999, he does find that the signed SEC documents indicate that Romney, at the least, did not "fully extricate himself from Bain" until 2002.

That would suggest that Romney's declaration on his disclosure form—no involvement "in any way"—is inaccurate. The Romney camp maintains that a few signatures here or there are no big deal. But Romney declared in a document submitted to the US government that he had nothing to do with Bain operations after February 1999. In light of that, those signatures are not nothing.

The 6 times his name showed up on SEC as CEO was the result of Companies who he was involved in he investing listed him as CEO. Not Bain, Not Mitt.

This was investigated in 2004 and Mitt was cleared of any wrong doing.

If you sign SEC filings then you are responsible for those filings and what is in them. You are saying " Yes I was there and I made those decisions either on my own or with counsel from my Board of Directors". My direct boss is the CFO and she has to sign those documents each year with the owner and our house counsel along with the BOD. She does not take it lightly and demands that what is contained in those documents is true and factual.

The problem for Mitt is HE SIGNED THE DOCUMENTS!!!! What is it about that little thing that some of you are not getting? So he either lied to the SEC or he lied as he was collecting a salary for NOT being the sole owner and operator of Bain Capital. You cannot have it both ways. We did some research on Romney, and the SEC Records shows that Romney was still in charge as the CEO up to the year 2001. So somebody is yanking on our strings! Sometime in the 90's Bain Capital became a "Leverage Buy Out"/"Corporate Raiders" while Romney was in charge as the CEO. The company continues to do the same today (with putting small companies out of business in the U.S.). Also, Mitt worked 3 years longer than he claims. So what's he hiding? Ann's 15 year old horse (who hopes to be in the Olympics this summer) was placed under their corporation name. As a result through their corporate tax exemptions, they deducted $77K for care of the one horse this past tax year. This horse lives better than most of the people in Mississippi, Louisiana, and Arkansas. The Romneys' have "Blind Trusts", where one of the businesses used in their overseas assets, made a profit of 1.9 million. The entire Trust had a $7.4 million gain, due to money manipulation allowed for the corporate elite. Any profits made in companies overseas are not required to pay taxes on the profits, or show them to the U.S. This is one reason why Obama wants to change the tax code, in particular for the wealthy elite, overseas business, etc. The elite in return, hire the lobbyists, get the backing of other corporations, etc. to say that Obama wants to raise ALL of our taxes, which is not true for anyone earning under $250K annually. Then at $250K, the extra tax would start from that point. But leave it to the Republicans to insinuate the tax would start at the bottom end.

Why is it that Romney will show only the 2010 (one year) tax, but not the 2011 taxes, and not the 3 years of taxes that were requested? Supposedly 3 years of taxes were shown by Obama. There have been verbal stories and articles written stating that Romney has off shore accounts in Bermuda, Cook, Caymans, and Switzerland. There is an e-mail from the Republican citizens claiming that Romney gave up his entire inheritance, which I find it hard to believe. Maybe he gave up the U.S. money and kept all the Off Shore Accounts. But it is becoming clear as we do the research that Romney is not being transparent with various different topics as-well-as income sources.

i watched this interview last night. Also when he was asked what he thought of the Olympic uniforms being made in China he stated that that was no concern to him. Ralph Lauren and all his money chose to send his business to china and i can only imagine the profits he made on these uniforms. Does he not already have enough money? He became a billionaire in the United States, that he could not throw a bone to business in the United States and Mitt really doesn't care where they were made as long as the share holders got there money.....just saying! So if Romney did indeed stop being involved in the day to day operations of Bain Capital in 1999, and the issue is merely that the new owners took their sweet time transferring ownership, then this is much ado about nothing. He would have to remain on 'legal' title until the official transfer documents were completed and signed. People who understand these filings know this, and it appears that Obama is 'playing dirty' when he knows the truth. Let's see what the SEC says.

It should be easy to verify through the people Romney worked with on the Olympics.

You should check TX, WS, AZ and CA. Those states have millions of gun walking each year due to the law that allows anyone to go and order lots of guns without require anything.

@rklima, Obama did not kill any Agent. It doesn't matter where any gun came from. Being an Agent is a dangerous job and death is to be expected. Americam Soldiers have been killed with M-16s in combat and I didn't hear aword about that and we didn't make these weapons availible just by being there.

The program was discontinued because of problems, that would be project Gunrunner, BTW. It was resurrected under Obama and Holder and renamed Fast and Furious but it was not a real continuation since that would imply that the original program never ended, which it did.

As to comparing military combat to policing the border, perhaps you may want to think about that. If it is so dangerous, then why aren't more time and resources being provided to protect the borders from drug cartels who seem to be as powerful as any soverign nation's military? The Border Patrol is not a military organization and yet you claim that they face the same dangers that a soldier in a combat zone faces. Perhap Napolitano was less than truthful in her statements that the borders were secure?
